These Terms of Service ("Terms") govern your access to and use of the DocumentsFlow platform and services (collectively, the "Service") provided by DocumentsFlow LLC ("we", "us", or "our").
Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you may not access the Service.
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lowercase letters, numbers, and symbols) with your account.
We offer different types of accounts with varying features and pricing. The specific features available to you will depend on the type of account you have registered for.
Our Service is offered on a subscription basis. You will be billed in advance on a recurring basis, depending on the subscription plan you select. Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select when purchasing the Service.
Important: All subscriptions automatically renew at the end of the applicable subscription period, unless you cancel your subscription before the end of the current subscription period.
For monthly subscriptions, your subscription will automatically renew each month on the same date that you initially subscribed, and you will be charged the applicable subscription fee using the payment method you provided during registration.
For annual subscriptions, your subscription will automatically renew each year on the same date that you initially subscribed, and you will be charged the applicable annual subscription fee using the payment method you provided during registration.
By subscribing to our Service, you authorize us to charge your payment method at the then-current subscription rate plus any applicable taxes. If the payment method you provided expires and you do not update your payment information or cancel your subscription, you authorize us to continue billing you and you remain responsible for any uncollected amounts.
You may cancel your subscription at any time from your account settings page. If you cancel your subscription, you will continue to have access to the Service through the end of your current billing cycle, but you will not receive a refund for the current billing period.
Refund Policy: We offer a 14-day refund period for new annual subscriptions only. If you are not satisfied with our Service within the first 14 days after initial purchase of an annual subscription, you may request a full refund by contacting support@documentsflow.com. After the 14-day period, all payments are non-refundable and there are no refunds for partially used subscription periods.
Monthly subscriptions do not qualify for refunds unless required by law.
If you believe you were charged in error or have other extenuating circumstances, please contact our support team at support@documentsflow.com. Refunds in such cases will be evaluated on a case-by-case basis and are provided at our sole discretion.
We reserve the right to adjust pricing for our Service or any components thereof in any manner and at any time as we may determine in our sole discretion. Except as otherwise expressly provided for in these Terms, any price changes will take effect following notice to you.
Certain features of our Service operate on a credit system, where each document processed consumes a specific number of credits. Credits are allocated based on your subscription plan.
Credits are allocated at the beginning of each billing cycle. For monthly subscriptions, unused credits expire at the end of each monthly billing cycle. For annual subscriptions, unused credits expire at the end of each annual billing cycle. Expired credits do not roll over to the next billing cycle.
If you need additional credits beyond what is included in your subscription plan, you may purchase additional credits. Additional purchased credits remain valid until used or until your account is terminated, whichever comes first.
We will notify you when your credit balance is low. You are responsible for monitoring your credit usage and ensuring you have sufficient credits for your needs.
You agree to use the Service in compliance with all applicable laws, regulations, and third-party rights. You must not use the Service for any illegal purposes or in any manner that could damage, disable, overburden, or impair the Service.
You must not engage in any of the prohibited activities as outlined in our Acceptable Use Policy, which is incorporated by reference into these Terms. Prohibited activities include, but are not limited to, uploading malware, engaging in phishing or fraud, distributing spam, and infringing intellectual property rights.
You are solely responsible for the content that you upload, publish, display, link to, or otherwise make available via the Service. We reserve the right to remove any content that violates these Terms or our Acceptable Use Policy.
The Service and its original content, features, and functionality are and will remain the exclusive property of DocumentsFlow LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
You retain all rights to any content you submit, post, or display on or through the Service. By submitting, posting, or displaying content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit your content solely for the purpose of providing the Service to you.
If you provide us with any feedback or suggestions regarding the Service, you hereby assign to us all rights in such feedback and agree that we shall have the right to use such feedback in any manner we deem appropriate without any obligation to you.
We collect and process personal data as described in our Privacy Policy. By using the Service, you consent to such processing and you warrant that all data provided by you is accurate.
If you are a business user located in the European Economic Area (EEA), the United Kingdom, or Switzerland and you process personal data of EU citizens using our Service, our Data Processing Addendum will apply to your use of the Service.
The Service may contain links to third-party websites or services that are not owned or controlled by DocumentsFlow LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
The Service may integrate with Google services, such as Google Login or Google Cloud APIs. Your use of such services is subject to Google's terms and conditions and privacy policies.
You may terminate these Terms by canceling your account and discontinuing use of the Service.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects in the Service will be corrected. We do not warrant any results that may be obtained from the use of the Service.
In no event shall DocumentsFlow LLC be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
In no event shall our total liability to you for all damages, losses, or causes of action exceed the amount you have paid us in the last six (6) months, or, if greater, one hundred dollars ($100).
You agree to defend, indemnify, and hold harmless DocumentsFlow LLC, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.
We respect the intellectual property rights of others and expect users of the Service to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. Our DMCA Copyright Policy, available at DMCA Policy, provides information about how to report claims of copyright infringement.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last updated" date at the top of these Terms.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
